Terms and conditions

This English translation is provided as a courtesy and for informational purposes only. In case of any discrepancy or dispute concerning the interpretation of these General Terms and Conditions, the Dutch text shall prevail.

1 Definitions

1.1 The terms used in these General Terms and Conditions shall have the meanings set out in this article:
a. “General Terms and Conditions”: these general terms and conditions of sale and delivery;
b. “Jekill & Hyde”: The Jekill & Hyde Company B.V., having its registered office and place of business at Pannenberg 18, 5951 DM Belfeld, the Netherlands, registered under VAT identification number NL806190280B01 and with the Trade Register of the Chamber of Commerce under number 12037048, or its affiliated companies;
c. “Customer”: any natural person, not acting in the course of a profession or business, who purchases or intends to purchase Products from Jekill & Hyde;
d. “Agreement”: any agreement between Jekill & Hyde and the Customer, including any amendments and/or additions thereto, for the purchase and sale of Products, as well as all legal acts related to the preparation and performance of such agreement;
e. “Product” or “Products”: the products offered by Jekill & Hyde via the Website, including but not limited to exhaust systems and accessories;
f. “Website”: the website operated by Jekill & Hyde: shop.jekillandhyde.com.

2 Jekill & Hyde

2.1 The company details of Jekill & Hyde are as follows:

3 Applicability

3.1 These General Terms and Conditions apply to all offers made by Jekill & Hyde and to all Agreements concluded with Jekill & Hyde via shop.jekillandhyde.com, as well as to the performance thereof.
3.2 Deviating terms or provisions shall apply only if and insofar as Jekill & Hyde has expressly agreed to them in writing.
3.3 Jekill & Hyde reserves the right to amend these General Terms and Conditions at any time. New General Terms and Conditions shall take effect immediately from the moment they are notified to the Customer. In the event of a substantial amendment to the General Terms and Conditions, the Customer is entitled to terminate the Agreement within thirty (30) days after notification of the new General Terms and Conditions.

4 Offers

4.1 All offers made by Jekill & Hyde are non-binding. Jekill & Hyde is entitled to withdraw an offer immediately after receipt of the Customer’s acceptance thereof.
4.2 The offer contains a complete and accurate description of the main characteristics of the Product offered and the applicable price. Jekill & Hyde strives to present all information on the Website as truthfully as possible. Obvious mistakes or obvious errors in the offer shall not bind Jekill & Hyde.
4.3 All images, specifications and data included in the offer are indicative only and cannot give rise to any right to compensation and/or termination of the Agreement, insofar as any deviation does not impede the reasonably expected use by the Customer and/or the normal use of the Product.

5 Agreements

5.1 The Agreement is concluded at the moment the Customer has accepted Jekill & Hyde’s offer and Jekill & Hyde has not withdrawn the offer in accordance with Article 4.1.
5.2 To confirm acceptance of the offer, Jekill & Hyde will send an order confirmation to the email address provided during the ordering process.
5.3 Jekill & Hyde is entitled, within the limits of the law, to investigate whether the Customer can meet his/her payment obligations, as well as any other facts and/or circumstances relevant to responsibly entering into an Agreement. If, based on such investigation, Jekill & Hyde has good grounds not to enter into the Agreement, it is entitled to refuse the order or impose special conditions on its performance.
5.4 Each Agreement is entered into subject to the suspensive condition of sufficient availability of the Products. If a Product ordered is unavailable or no longer available, Jekill & Hyde shall inform the Customer, cancel the purchase and refund any payment already received using the same payment method.

6 Prices

6.1 Prices stated on the Website are inclusive of VAT and other government-imposed levies, but exclusive of shipping costs. Jekill & Hyde specifies per Product whether shipping costs apply and the amount thereof. Any shipping costs are stated separately during the ordering process and on the invoice.
6.2 Prices stated on the Website are non-binding and subject to change. Price changes do not affect Agreements already concluded.

7 Payment

7.1 Unless agreed otherwise in writing, payment for the Products must be made at the time of ordering in the manner indicated by Jekill & Hyde. Jekill & Hyde accepts the following payment methods: iDEAL, credit card (VISA, AMEX or Mastercard).
7.2 If payment is not received in time, the Customer shall owe statutory interest and extrajudicial collection costs after having been given written notice by Jekill & Hyde and granted a period of fourteen (14) days to still meet his/her payment obligations, without payment having been made within that period. The extrajudicial collection costs shall be calculated in accordance with the applicable Dutch legislation.

8 Delivery

8.1 Delivery of the Products shall take place at the address specified by the Customer during the ordering process. The delivery address must be located within the EU. If the delivery address is located outside these countries, Jekill & Hyde is entitled to charge additional shipping costs.
8.2 Risk passes to the Customer at the moment the Products are delivered to the Customer. Subject to Article 9, ownership of the Products also passes upon delivery.
8.3 The expected delivery period is stated on the Website and in the confirmation of the Agreement. Jekill & Hyde aims to deliver the Products within the stated delivery period, but no later than thirty (30) days after the order date. If delivery within this period is not possible, the Customer is entitled to terminate the Agreement free of charge.
8.4 Delivery periods stated in this article are not fatal deadlines. Exceeding a delivery period does not entitle the Customer to compensation.
8.5 If an order consists of multiple Products, Jekill & Hyde may deliver them in one shipment or in multiple shipments.
8.6 If the Customer refuses to accept delivery or otherwise prevents delivery, Jekill & Hyde is entitled to store the Product at the Customer’s expense and risk until delivery can take place again.

9 Retention of Title

9.1 Jekill & Hyde retains ownership of all delivered and yet-to-be-delivered Products until all claims relating thereto have been fully paid by the Customer.

10 Right of Withdrawal

10.1 The Customer is entitled to dissolve the Agreement without stating reasons within fourteen (14) days (right of withdrawal). This period commences on the day the Product is received by the Customer or a third party designated by the Customer, not being the carrier.
10.2 To exercise the right of withdrawal, the Customer must complete and submit the designated model form or submit another unequivocal statement of withdrawal to Jekill & Hyde. Electronic notifications will be confirmed by Jekill & Hyde on a durable data carrier.
10.3 The Customer must return the Product without delay, but no later than fourteen (14) days after submitting the withdrawal statement. Return shipping costs are borne by the Customer.
10.4 Jekill & Hyde shall refund the purchase price including shipping costs within fourteen (14) days after receipt of the withdrawal statement, subject to receipt of the Product or proof of return.
10.5 Refunds will be made using the same payment method unless otherwise agreed.
10.6 Any ancillary agreements shall automatically be dissolved upon withdrawal.

11 Customer Obligations During the Cooling-Off Period

11.1 During the cooling-off period, the Customer shall handle the Product and its packaging with care. The Product may only be unpacked or used to the extent necessary to assess its nature, characteristics and functioning. Installation of the Product is not permitted. Signs of use are not accepted.
11.2 The Customer is liable for any depreciation resulting from use beyond what is permitted. Jekill & Hyde is entitled to deduct such depreciation from the refund.

12 Force Majeure

12.1 If Jekill & Hyde is prevented from performing due to force majeure, it is entitled to suspend performance. The Customer is not entitled to compensation.
12.2 Force majeure includes, but is not limited to, extreme weather conditions, fire, flooding, accidents, illness or strikes, epidemics or pandemics, government measures, business interruptions, transport disruptions, power failures, cyberterrorism, cyberattacks, security incidents, data corruption or loss, restrictive legislation, export restrictions, unforeseen production or shipping problems, late delivery by third parties, and other circumstances beyond Jekill & Hyde’s control.

13 Conformity, Warranty and Liability

13.1 Jekill & Hyde warrants that the Products conform to the Agreement and possess the characteristics required for normal use and any special use agreed upon. Products are delivered with accessories and instructions.
13.2 Except as provided in Article 13.1, no additional warranty is given. The warranty does not cover defects caused by improper installation or use, careless use, unauthorized modifications, or defects in the vehicle on which the Product is installed.
13.3 Warranty claims must be reported in writing within a reasonable time and no later than two (2) months after discovery.
13.4 The Customer must allow Jekill & Hyde to inspect the Product and follow instructions regarding sealing or return.
13.5 If a complaint is justified, Jekill & Hyde shall deliver, repair or replace the Product.
13.6 Repair or replacement is not required if disproportionate.
13.7 This article is subject to mandatory statutory consumer rights.

14 Product Recall

14.1 If a defect affecting safety becomes known, Jekill & Hyde may take appropriate measures, including withdrawal, cancellation of deliveries, or recall of Products.

15 Privacy

15.1 Jekill & Hyde processes personal data in accordance with applicable privacy laws and its privacy and cookie statement and takes appropriate security measures.

16 Intellectual Property

16.1 All intellectual property rights relating to the Products and all materials developed by Jekill & Hyde belong exclusively to Jekill & Hyde or its supplier.
16.2 The Customer receives a non-exclusive, non-transferable, non-sublicensable right of use limited to personal use for the agreed purpose.

17 Governing Law and Jurisdiction

17.1 Dutch law applies to all Agreements.
17.2 Disputes shall be submitted to the competent court of the District Court of Limburg, location Roermond, unless mandatory law provides otherwise.

18 Final Provisions

18.1 Invalidity of any provision does not affect the validity of the remaining provisions. Invalid provisions shall be replaced by valid ones with similar intent.
18.2 In the event of any issues regarding the interpretation or explanation of these General Terms and Conditions, the Dutch version shall prevail.
